Latin Metals has partnered with Geomorphic AI Corporation to apply artificial intelligence and advanced geoscience tools to the Company’s extensive proprietary exploration database in Argentina.

The initiative is designed to accelerate the identification, evaluation and ranking of new mineral exploration opportunities for potential addition to Latin Metals’ project portfolio.

Agreement with Geomorphic AI

Geomorphic AI Corporation will apply its proprietary AI-driven geoscience platform to Latin Metals’ Argentine exploration database. Latin Metals retains ownership of the database and sole discretion over whether to pursue any opportunity identified through the program.

INITIAL TERM	12 months, subject to extension by mutual agreement
GEOMORPHIC ROYALTY	Up to 0.5% NSR on properties acquired by Latin Metals within or adjacent to identified Target Areas
LATIN METALS ROYALTY	Up to 0.5% NSR if Geomorphic acquires an opportunity Latin Metals elects not to pursue
SUCCESS FEE	US$5,000 per acquired property, capped at US$50,000 for each party

Latin Metals retains sole discretion over whether to investigate, stake, acquire, finance, develop or otherwise pursue any Target Area. Existing projects and active acquisition opportunities are excluded from the Agreement.
